General

These General Terms and Conditions apply to the sale of goods and services of Pro Commerce, d.o.o. (hereinafter: the Seller). By placing an order, the Buyer confirms that they are familiar with these terms and fully agree to them. The Buyer’s purchasing terms shall not be binding on the Seller, even if the Seller does not expressly object to them. This applies to all oral, telephone, or written agreements unless confirmed in writing by the Seller. Our offer is intended exclusively for legal entities (B2B). Sales to private individuals are not part of our business. Pro Commerce, d.o.o. reserves the right to change content, technical data, and prices without prior notice. Minor deviations in colors, shapes, or dimensions of products shown in catalogues, samples, or on the website may occur. Product images and colors are symbolic.

Prices

All prices are stated in euros (€) and apply EXW warehouse Kranj, excluding VAT.
Prices in the catalogue and on the website remain valid until new prices are published.
Pro Commerce, d.o.o. reserves the right to change prices without prior notice due to changes in raw material prices, exchange rates, or other market factors.

Orders

All received orders are considered irrevocable.
The purchase order must contain all legally required elements. The Buyer is responsible for the accuracy and completeness of the information stated in the purchase order.

Minimum order requirements:

  • the total order value must exceed €100.00 net.

Order confirmation / Pro forma invoice

Each order or acceptance of an offer is confirmed by the Seller via a confirmation message or a pro forma invoice, which forms the basis for order fulfillment.
An order is deemed confirmed once the Buyer confirms the pro forma invoice or pays the advance payment.

Delivery

Goods are delivered from the Company’s warehouse in Kranj unless agreed otherwise.
We ship goods via our contractual delivery services – Pošta Slovenije and GLS.
Upon receipt, the Buyer must immediately check the quantity and condition of the goods and, in case of any damage, prepare a complaint report together with the carrier.
Delivery costs are charged separately, except for orders above €250.00 net, for which delivery within Slovenia is free of charge.

For invoicing purposes, the quantity and weight data stated on the Seller’s delivery note shall be decisive.

Delivery Times

Delivery times are determined by agreement with the Buyer.
In the event of delays due to force majeure or unforeseen circumstances, the delivery period shall be automatically extended by a reasonable time in accordance with Article 105 of the Obligations Code (OZ).

Complaints

Complaints must be submitted within 8 days of receipt of the goods, together with the complaint report.
Complaints submitted after the deadline or without appropriate documentation will not be considered.
The Seller may reject a complaint if it is determined that the goods were damaged after dispatch or were used improperly.
Complaints regarding products with printing or finishing are handled in the same manner as for standard goods, except where the Buyer carried out independent printing, for which the Seller is not responsible.

Printing and Personalization

We offer various types of branding and personalization (printing, engraving, embroidery, etc.).
A finishing preview (proof) is prepared after the order is confirmed.
We accept artwork exclusively in vector format (.CDR, .AI, .EPS, .PDF).

When printing on different colored backgrounds, color deviations may occur for which the Seller is not liable.

Any graphic adjustment or logo processing is charged based on actual time spent (€40.00 / hour).

Samples

For ordering samples up to a value of €100.00, an administrative fee of €25.00 plus shipping costs will be charged.
Samples are generally non-returnable, except by prior agreement.

Payment Terms and Discounts

The payment term is a maximum of 30 days from the invoice date unless agreed otherwise.
A 3% discount is granted for payment based on a pro forma invoice.
In the event of late payment, statutory default interest will be charged.
Discounts do not apply to services (printing, engraving, embroidery, etc.).
Delivered goods remain the property of Pro Commerce, d.o.o. until the invoice is paid in full.

Jurisdiction

In the event of any disputes arising from the business relationship, the parties undertake to resolve them amicably.
If this is not possible, the competent court in Kranj shall have jurisdiction.
Slovenian law applies to the interpretation of these terms.

Validity of Terms

These General Terms and Conditions enter into force on the date of publication on the website www.procommerce.si and replace all previous versions.
The Company reserves the right to make changes without prior notice.
